Terms of Service

1. Acceptance of terms

By accessing or using Offersly (the "Service") at offersly.app, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

Offersly is operated by Offersly Pte. Ltd., a company registered in Singapore ("we", "us", "our"). If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.

2. The service

Offersly provides web-based resume building, editing, AI-assisted writing, ATS keyword analysis, and PDF export, along with related features including a public share page, application tracker, mock interview simulator, and Chrome browser extension.

We may add, change, suspend, or discontinue features at any time. We will provide reasonable notice for material changes that affect paying customers.

3. Accounts

You must be at least 16 years old (or the minimum age of digital consent in your jurisdiction) to create an account. Accounts must be tied to a real email address that you control.

You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account. Notify us immediately of any unauthorised use.

You may use the Service for both personal and reasonable commercial use (i.e. creating resumes for yourself or your clients). You may not create accounts via automated means or operate the Service on behalf of multiple third parties without a separate written agreement.

4. User content & ownership

You own your resume content. All resume text, photos, target roles, application notes, and other content you create or upload remains your intellectual property. You retain full rights to the resumes you produce.

By submitting content, you grant Offersly a non-exclusive, worldwide, royalty-free licence to host, store, process, and display that content solely as needed to provide the Service to you (including transmitting it to third-party AI providers when you invoke AI features — see Section 6 and our Privacy Policy).

You represent that the content you submit does not infringe any third party's rights and is truthful to the best of your knowledge.

5. Acceptable use

You agree NOT to:

• Use the Service for any unlawful purpose or to facilitate identity fraud, employment fraud, or résumé fabrication;
• Upload content that is hateful, harassing, defamatory, obscene, or that violates any third party's intellectual property or privacy;
• Probe, scan, or attempt to bypass authentication or rate limits;
• Resell, white-label, or sublicense the Service without our prior written consent;
• Use automated scrapers, headless browsers, or bots to extract data from the Service;
• Misrepresent your identity or use another person's email address.

We may suspend or terminate accounts that violate this policy.

6. AI features

Offersly uses third-party AI providers — currently Anthropic (Claude) for text features like AI Tailor, AI Coach, Mock Interview, and bullet rewriting, and OpenAI for optional voice transcription. When you invoke an AI feature, the relevant portions of your resume text are sent to the AI provider for processing.

AI output is generated content. While we engineer prompts to prevent fabrication, AI output may contain errors, inaccuracies, or invented details. You are solely responsible for reviewing and editing AI-generated content before using it in any job application. Do not submit any resume to an employer that contains statements you cannot personally verify.

Per our agreements with these providers, your content is not retained for AI model training. See our Privacy Policy for details on AI data handling.

7. Subscriptions, billing & cancellation

Offersly offers a free tier and a paid "Pro" subscription. Subscription pricing and feature inclusion are listed at /pricing.

Transparent billing promise:

• No automatic conversion from free trial to paid subscription. You only become a paying customer when you explicitly initiate Stripe checkout and complete payment.
• Pro is billed monthly in advance via Stripe. The amount and currency shown at checkout is what we charge — no hidden fees.
• You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain Pro access until then.
• We will not automatically increase your subscription price without at least 30 days advance email notice.

If a payment fails, we will retry up to 3 times over 7 days before downgrading your account to the free tier. Your data is retained.

8. Refunds

We offer a refund on your most recent payment if all the following are true:

• You cancel within 7 days of the most recent charge;
• You have exported fewer than 3 Pro-template PDFs since the most recent charge;
• You request the refund in writing to [email protected].

Refunds are issued to the original payment method and typically arrive within 5–10 business days.

9. Intellectual property

Our IP. The Service, including its source code, design, layouts, templates, illustrations, copy, branding, prompt engineering, scoring rubrics, animations, and all underlying technology, is owned by Offersly (or our licensors) and is protected by copyright, trademark, trade secret, and other laws of Singapore and other jurisdictions. All rights not expressly granted to you in these Terms are reserved.

Limited licence to you. Subject to your compliance with these Terms, we grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your own resume building, job application, and career-development purposes. This licence terminates automatically when your account is closed or when you breach these Terms.

What you may NOT do. Except as expressly permitted by these Terms or with our prior written consent, you may not:

• Copy, modify, mirror, republish, sublicense, sell, rent, lease, or distribute any part of the Service, including our templates, copy, design tokens, or prompts;
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code, models, prompts, or scoring algorithms behind the Service;
• Use the Service, its templates, or its output to train, fine-tune, or evaluate any machine-learning model;
• Extract, scrape, or systematically download content, templates, or design assets from the Service;
• Use the Service to create or operate a product or feature that competes with Offersly;
• Remove or alter any copyright, trademark, or other proprietary notices.

Trademarks. "Offersly", the Offersly logo, and the names of any features unique to Offersly (e.g. "AI Tailor", "JD Match", "Resume Teardown") are trademarks of Offersly. You may not use these marks, or any confusingly similar marks, in connection with any product, service, or marketing material without our prior written permission. You may refer to Offersly nominatively (e.g. in reviews, comparisons, or news coverage) provided you do not imply endorsement or affiliation.

Template naming. Template names referencing well-known institutions or companies ("Harvard Professional", "Goldman Banking & Finance", "McKinsey Consulting", "Amazon Tech Product", "LinkedIn Modern") describe the aesthetic style only and are not affiliated with, endorsed by, or sponsored by those organisations.

Feedback. If you send us suggestions, ideas, bug reports, feature requests, or other feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable licence to use, modify, and incorporate that Feedback into the Service or any other product, without any obligation of attribution or compensation to you. You confirm that any Feedback you submit is your own and does not infringe a third party's rights.

9a. Reporting infringement (notice & takedown)

Offersly respects intellectual property rights. If you believe that content hosted on the Service infringes your copyright, trademark, or other IP right, please send a written notice to [email protected] including:

• Your full name, postal address, email, and contact number;
• A clear description of the work you claim has been infringed and where you hold the rights;
• The exact URL(s) on the Service where the allegedly infringing material is located;
• A statement, made in good faith, that you believe the use is not authorised by the rights holder, its agent, or the law;
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the rights holder or are authorised to act on the rights holder's behalf;
• Your physical or electronic signature.

On receipt of a valid notice we will, where appropriate, remove or disable access to the material and notify the user who uploaded it. Repeated infringers will have their accounts terminated. We may forward your notice (with your contact details) to the affected user so they may respond.

Knowingly submitting a false or misleading notice may result in legal liability under the Copyright Act 2021 (Singapore) and other applicable laws.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

Offersly does not guarantee: that your resume will pass any specific ATS, that you will receive interview invitations, that you will be hired, or that any specific outcome will result from your use of the Service. Resume effectiveness depends on your actual experience, the role, the employer, and many factors outside our control.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OFFERSLY'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR SGD 50, WHICHEVER IS GREATER.

WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOST OPPORTUNITIES.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain damages. To the extent that such law applies to you, some of the above exclusions may not apply.

12. Indemnification

You agree to indemnify and hold Offersly harmless from any claim or demand, including reasonable legal fees, arising out of (a) your content, (b) your use of the Service in violation of these Terms, or (c) your violation of any third party's rights.

13. Termination

You may delete your account at any time from account settings. We will delete your data within 30 days (Section 5 of our Privacy Policy explains the retention details).

We may suspend or terminate your account if you violate these Terms. We will, where reasonably possible, provide notice and an opportunity to cure.

14. Changes to these terms

We may update these Terms from time to time. Material changes will be announced by email to registered users at least 14 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.

15. Governing law

These Terms are governed by the laws of Singapore, without regard to conflict of laws principles. Any dispute will be resolved by the courts of Singapore.

If you are a consumer in the EU/UK, this clause does not deprive you of consumer rights granted by mandatory local law.
